Terms of Service

These terms govern your use of Shopedown, an AI creative tool for online sellers, including the Shopedown website (shopedown.com) and any Shopedown plugin we make available. By creating an account or using Shopedown, you agree to them. If you do not agree, do not use Shopedown.

1. What Shopedown is

Shopedown helps sellers write marketplace listings. You describe a product, and Shopedown's AI drafts listing titles, descriptions and selling points in the language you choose. It produces text only. You copy the result and use it in your own listings.

Shopedown does not access your marketplace account, does not ask for your Shopee password, and cannot publish anything on your behalf. Everything you publish is published by you.

2. Not affiliated with Shopee

Shopedown is an independent product. It is not affiliated, associated, authorized, endorsed by, or in any way officially connected with Shopee, Sea Limited, or any of their subsidiaries or affiliates.

"Shopee" and related names and logos are trademarks of their respective owners. We refer to them only to describe the marketplace our users sell on, and not to claim any relationship with, or approval by, the trademark owner.

3. Your responsibility for what you write and publish

This is the most important section of these terms.

Shopedown drafts text; you decide what to publish. You agree that:

• You are solely responsible for the accuracy of every claim in a listing you publish, including product specifications, materials, certifications, origin, warranties and prices.
• You will not use Shopedown to infringe anyone's copyright, trademark, publicity, privacy or other rights, or to imitate another seller's or brand's listing text.
• You will not use Shopedown to create listings that misrepresent a product's origin or that pass off another party's goods or brand as your own, or to sell counterfeit, restricted or prohibited goods.
• You will comply with the terms and policies of any marketplace you sell on, and with all laws that apply to you.
• The product descriptions you enter belong to you or you have the right to use them, and do not contain other people's personal data.

We do not review or monitor what you publish and cannot advise you on whether a particular listing is permitted on a marketplace. You agree to indemnify and hold us harmless against any claim, loss or expense (including reasonable legal fees) arising from listings you published or from your breach of this section.

4. AI features

Shopedown's AI features generate text only (title ideas, description drafts and selling points). They do not generate images or video.

• When you request a draft, the product description you enter is sent to the provider that runs our text model, GPT6, which generates the output.
• AI output is a draft and may be inaccurate, incomplete or similar to existing text. You are responsible for reading, editing and verifying it before you publish it, and for making sure it is accurate and does not infringe anyone's rights.
• If you publish AI-generated text, you are responsible for following any marketplace rules on AI-generated content that apply to you.

Acceptable use of the AI features

You must not use Shopedown's AI features to create or promote: sexual or pornographic content; graphic violence; hate speech or harassment; content unsafe for children; deceptive or fake reviews, ratings or testimonials; impersonation of people or brands; counterfeit or prohibited goods; malware or other unlawful material; or any content that infringes copyright or trademark. We may refuse a request, limit or suspend access, and remove content that breaks these rules. To report misuse or an incorrect action against your account, email support@shopedown.com.

5. Accounts

An account is needed to use the AI Creative Studio. Free accounts have a daily allowance of AI drafts; Pro raises it.

You are responsible for keeping your password confidential and for activity under your account. Tell us at support@shopedown.com if you believe it has been used without your permission.

You must be old enough to enter into a contract where you live, and must not be barred from receiving our services under any applicable sanctions or export laws.

6. Pro plans and billing

Pro is offered as a monthly subscription and as a one-time lifetime purchase. Current prices are shown on our website before you reach checkout, and the exact amount and billing period are shown again at checkout before you pay.

Payments are processed by Waffo, which acts as the Merchant of Record for every Shopedown transaction. Waffo, not Shopedown, is the seller of record on your invoice. Waffo collects payment, calculates and remits any applicable sales tax or VAT, and issues the invoice. Your purchase is therefore also subject to Waffo's buyer terms. A charge may appear on your statement under Waffo's name.

Subscriptions renew automatically at the then-current price for the same period until you cancel. You can cancel at any time from your account settings or from the billing link in your receipt. Cancelling stops future charges; Pro stays active until the end of the period you have already paid for.

Lifetime is a single payment. Nothing renews. Lifetime access continues, including updates, for as long as we offer Shopedown as a product. It is not a guarantee that Shopedown will be offered forever.

"Fair use" of AI features means ordinary individual use; we may limit automated or excessive use that degrades the service for others.

If we change our prices, the new price applies to renewals only after we have given you notice, and never to a period you have already paid for.

Refunds are governed by our Refund Policy, which forms part of these terms.

7. Acceptable use of the service itself

You agree not to reverse engineer or attempt to extract the source of Shopedown (except where the law prohibits that restriction); resell or share your Pro access outside your organisation; circumvent the daily limits or the limits between plans; use automated means to bulk-generate text; interfere with our servers or access them by any means other than the website and plugin we provide; or use Shopedown to send spam, distribute malware or carry out any unlawful activity.

8. Availability, and what we do not promise

Shopedown depends on third-party services, including the provider that runs our AI model, and may be unavailable or change from time to time.

Shopedown is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that it will be uninterrupted or error-free, or that AI output will be accurate.

Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for fraud, or for death or personal injury caused by negligence.

9. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, business or goodwill, arising from your use of or inability to use Shopedown. Our total liability for all claims relating to Shopedown is limited to the greater of (a) the amount you paid us in the twelve months before the event giving rise to the claim, or (b) USD 50.

10. Suspension and termination

You may stop using Shopedown at any time and delete your account from your account settings. Deleting your account does not by itself entitle you to a refund; see the Refund Policy.

We may suspend or terminate an account that breaches these terms, in particular sections 3, 4 or 7, or where the law requires it. Where reasonable, we will tell you why and give you a chance to put it right first. If we terminate your account without cause, we will refund the unused portion of any prepaid period.

11. Changes to these terms

We may update these terms. If a change materially affects your rights, we will give notice through the service or by email before it takes effect. The "last updated" date above always reflects the current version. Continuing to use Shopedown after a change takes effect means you accept it.

12. Governing law

These terms are governed by the laws of the jurisdiction in which the Shopedown operator is established, without regard to its conflict-of-law rules. If you are a consumer in a jurisdiction whose law grants you mandatory consumer protections, nothing in these terms deprives you of them.
